A conditional listing deal
OpenPayd and Titan Acquisition Corp. announced a definitive business-combination agreement on 1 June that would take the financial infrastructure company public on Nasdaq under the ticker OP. The transaction assigns OpenPayd a pro forma equity value of $1.145 billion. OpenPayd’s platform connects business accounts and payments across fiat rails, blockchain networks and stablecoins.
Proceeds depend on closing
OpenPayd could receive up to $276 million from Titan’s trust account, assuming no public-shareholder redemptions. The agreement was subject to closing conditions and shareholder approval; the announcement did not mean the listing had occurred. The stated valuation is an equity value, distinct from debt or enterprise value. OpenPayd said it served more than 1,100 customers in 180 countries. Those customer figures are company-reported, while the transaction terms come from the SEC-filed announcement.
