A private-market transaction

Stripe announced on 24 February that it had signed agreements for a tender offer giving current and former employees a way to sell shares. The company put the transaction valuation at $159 billion. Investors including Thrive Capital, Coatue and a16z would provide most of the funding, with Stripe also using some of its own capital to repurchase shares. The announcement describes liquidity for existing holders rather than an exchange listing. Stripe tender announcement.

Payment volume is a separate measure

Alongside the offer, Stripe published its annual letter and reported $1.9 trillion in total volume generated by businesses on its platform during 2025, up 34% from 2024. That activity measure is distinct from Stripe’s own revenue and from the valuation used for the share transaction. Stripe also said its Revenue suite was on course for a $1 billion annual run rate in 2026. The forecast remains the company’s projection, while the tender valuation records the terms agreed for this particular liquidity event. Stripe tender announcement.
