What the February package includes
Wayve’s February announcement describes a closed $1.2 billion Series D at an $8.6 billion post-money valuation. Its broader $1.5 billion capital headline includes additional milestone-based investment from Uber for robotaxi deployment. The company said commercial robotaxi trials would begin in 2026, with supervised driving software in consumer vehicles planned from 2027. Those are different products and timelines. The first agreement should not be summarised as $1.5 billion of unrestricted cash already received. Primary announcement.
What the July tender provides
On 1 July, Wayve announced an $85 million employee tender offer. Current employees could sell a portion of their vested shares. The company described it as its second employee-liquidity programme and linked the announcement to retaining staff as it moved toward commercialisation. It also announced expansion of its Sunnyvale headquarters. A tender gives eligible holders a route to sell; it is not the same event as a new primary funding round into the company. A better way to read the headlines
Our interpretation is that these announcements address three separate needs. Primary capital funds the business. Conditional strategic capital depends on agreed milestones. A secondary transaction gives some shareholders liquidity. Combining them into one number makes the company look more liquid than the evidence supports. It can also hide the conditions employees face when selling shares. For a founder comparing financing routes, the useful questions are concrete: who receives the proceeds, when does the money become available, and what has to happen first? For readers following autonomy, the same discipline applies to deployment. A planned trial, a supervised consumer feature and a driverless paid service are not interchangeable milestones.
For an employee, the practical questions are the eligible shares, permitted sale amount, price and timing. For the company, the question is how much new money arrives for operations. Both can be positive developments, but they solve different problems. A clear financing summary should keep separate columns for primary proceeds, conditional commitments and shareholder sales.
