The announced terms

Payward announced a definitive agreement on 7 May to acquire Reap Technologies Holdings for up to $600 million in cash and Payward stock. The transaction valued Payward’s equity at $20 billion. Reap provides card issuing and cross-border payment infrastructure combining traditional financial rails with stablecoin settlement. Payward said the deal would add cards, payments and stablecoin treasury tools to Payward Services, its business-to-business infrastructure platform. The agreement was subject to customary closing conditions and regulatory approvals. Payward Reap agreement.

The transaction closes

Payward confirmed completion on 1 July. Its closing release said partners could access embedded card issuance, cross-border money movement and stablecoin treasury management alongside the company’s liquidity, custody and settlement infrastructure. Reap would continue under its own brand, with its leadership team led by Daren Guo and its existing approach to customers. That confirmation updates the May announcement’s conditional transaction status. Payward Reap closing.

An infrastructure combination

The buyer describes the combination as a way for partners to obtain several financial capabilities through one platform. Its release says Reap’s licences support expansion in Asia-Pacific and the Americas, while Payward’s footprint can open additional markets for Reap. Those expansion benefits remain the companies’ account of the deal. Completion alone does not show that every payment corridor is live or that service eligibility is uniform across countries. What is documented is the transfer of ownership and the addition of Reap’s card and payments capabilities to the group’s infrastructure offering. Payward Reap closing.
