The conditional route
On 17 September, the SEC issued temporary, conditional relief for tokenised securities venues using permissioned automated-market-maker pools to trade tokenised NMS stock. Conditions include limits on symbols and volume, equivalent holder rights, public and auditable contracts, notice to underlying issuers and matching relevant trading halts. Certain liquidity providers also receive conditional dealer relief. The exemptions are scheduled to expire five years after publication. This is a defined experimental route, not a blanket exemption for all tokens that track share prices. Source.
How the commissioner describes its purpose
Commissioner Hester Peirce’s statement says issuers can opt out and that both incumbents and new entrants, including US persons, can use the exemptions when conditions are met. She frames the temporary arrangement as an opportunity to observe market behaviour before durable rules are developed. Her explanation also cautions against assuming that every participant automatically belongs to the same regulatory category. The design leaves room to learn from actual use rather than declaring the entire market structure settled. Source.
Rights before the interface
Our reading is that the most important comparison starts with what a holder actually owns. A token representing stock with equivalent rights differs from a synthetic instrument that only follows a price. A familiar ticker or an attractive trading screen cannot settle that distinction. Readers should ask who issues the token, how the underlying security is held, what rights are passed through and what happens during a corporate action or halt. The exemption’s conditions make those questions more explicit. They do not ensure every product described as tokenised stock meets them. The legal instrument and operating arrangement remain more informative than the token’s name.
Imagine two instruments carrying the same company ticker. One may represent a security with pass-through rights; another may be a derivative referencing a price. They can look similar in a wallet while exposing the holder to different counterparties and remedies. The first useful screen in a comparison is therefore the instrument description and rights documentation, not a price chart.
